Terms of Services
We provide a wide range of digital services, including custom website development, mobile app engineering, AI automation systems, premium branding and design, digital marketing, and IT strategy consulting. Every project is delivered by a senior remote team of specialists with 7 to 14 years of experience in their respective fields. We do not outsource to juniors, and we do not assign your project to inexperienced developers. The team you meet is the team that builds your product.

How We Deliver:
Every project begins with a discovery call. We listen carefully to your goals, your business challenges, and your audience. We then work with our senior specialists to map out a technical strategy that aligns with your budget, timeline, and desired outcomes. Before any work begins, we provide you with a detailed scope of work, a fixed price, and a clear timeline. All deliverables and expectations are outlined in your proposal or service agreement. You will never be asked to approve work that has not been clearly defined in advance.

We work with you at every step. You are never kept in the dark, and you never pay for work you have not approved.

Intellectual Property
Intellectual property is one of the most important aspects of any digital project. We believe that you should own the work you pay for, completely and without reservation. That is why we keep our IP terms simple and transparent.
What You Own: Upon full payment of the final invoice, you own the complete source code, design files, and digital assets created specifically for your project. This includes custom frontend and backend code, Figma design files, brand guidelines, motion assets, and any documentation we prepare for you. You are free to use, modify, or transfer these assets to another team without any restrictions from us.
What We Retain: We retain ownership of any pre-existing tools, libraries, frameworks, and code components that we developed prior to your project. We also retain ownership of any proprietary processes, templates, and internal systems used during the development of your product. You are granted a permanent, royalty-free license to use these components as part of your final product.
What Happens Before Full Payment: Until the final invoice has been fully settled, we retain full ownership and intellectual property rights over all work-in-progress. This protects both parties and ensures that we are fairly compensated for the work we have delivered. You will never be asked to pay for work we have not yet completed, and we will never withhold assets that you have already paid for.
Limitations and Restrictions: You may not resell, sublicense, or commercially distribute any proprietary tools or code developed for your project without our prior written consent. You are free to use these assets within your own business and for your own commercial purposes.
Moral Rights: We do not claim moral rights over the final product. You are free to modify, adapt, or rebrand the work as you see fit.
Payments and Invoicing
We believe in complete transparency when it comes to payments. We do not sell hours. We do not track time. We sell outcomes. Every project has a fixed price that is agreed upon in advance, and that price is tied to clear, pre-defined milestones. You always know exactly what you are paying for and exactly what you will receive.
Deposits and Payment Schedules: Most projects require an initial deposit of 50% of the total project fee before work begins. This deposit allows us to secure the time and expertise of our senior specialists and ensures that we can begin the discovery and design phases without delay. For larger projects, we may offer a milestone-based payment schedule. This is always outlined in your proposal and agreed upon before any work begins.
Our standard payment schedules are:
50% upfront, 50% upon final delivery. This is our default and recommended approach.
50% upfront, 25% at design milestone, 25% upon final delivery. This option provides extra milestones for larger, more complex projects.
70% upfront, 30% upon final delivery. This option is available for clients who prefer to pay the bulk of the project fee upfront.
Accepted Payment Methods: We accept payments via secure bank transfer, Stripe, and PayPal. All payment processing is handled securely and in compliance with PCI DSS standards. We do not store your full credit card details on our internal servers. You will receive a formal invoice for each payment, and you will receive a receipt upon successful processing.
Late Payments: We understand that delays can happen. If a payment is late, we will reach out to you directly to discuss the situation. We will not automatically suspend work or escalate the issue without first communicating with you. In most cases, a brief conversation is all that is needed to resolve any payment delays.
If payment remains outstanding for more than 30 days after the due date, we may pause work on your project until the issue is resolved. We will always provide you with at least 7 days notice before any action is taken.
Currency and Billing: All invoices are issued in British Pounds (GBP). Our clients are located across the UK, US, Europe, Australia, and the UAE, and we are happy to accommodate your preferred currency upon request. International wire transfers may be subject to fees from your bank, and we recommend verifying the final exchange rate before initiating a transfer.
Refunds and Cancellation Policy
We understand that circumstances can change. While we always aim to deliver a product that exceeds your expectations, we also recognize that sometimes projects need to be paused, adjusted, or canceled. We handle these situations with fairness, transparency, and a clear set of guidelines.
Deposit Refunds: Because the initial deposit secures the time and expertise of our senior specialists, it is non-refundable once work has begun. This deposit is used to allocate resources, begin planning, and secure the availability of our team. If you decide to cancel before we have started work, we may refund the deposit in full at our discretion.
Mid-Project Cancellation: If you cancel a project after work has already started, you will be invoiced for all work completed up to that point. This includes discovery, research, design, development, and any third-party expenses we have incurred on your behalf. You will not be charged for work that has not yet started or for milestones that have not yet been delivered. You will receive a detailed breakdown of all completed work and associated costs within 5 business days of the cancellation request.
What Happens After Cancellation: Upon cancellation and settlement of all outstanding invoices, we will provide you with the source code, design files, and assets that have been completed and paid for to date. You are not required to pay for unfinished work, and we will not withhold assets that you have already fully paid for.
Our Right to Terminate: In rare cases, VISENT TECH may choose to terminate a project due to repeated non-responsiveness, abusive behavior, or failure to meet agreed payment terms. We will always attempt to resolve the issue through open communication before taking any action. If we are unable to resolve the issue, we may terminate the project and invoice you for all work completed up to that point.
Refund Policy: Because we operate on a milestone-based payment model, refunds are only available in the case of a major error or failure to deliver an agreed milestone. If we fail to meet a milestone due to our own negligence or error, we will work with you to correct the issue at no additional cost. If we are unable to resolve the issue, we may offer a partial refund at our discretion.
Project Timelines and Deliverables
We take timelines seriously. Every project is built around a schedule that works for both you and our team. We provide realistic estimates and work diligently to deliver on time without sacrificing quality.
Estimated Timelines:
Custom websites and foundational platforms: 1.5 weeks to 4+ weeks.
Mobile apps and custom platforms: 4 weeks to 6+ weeks.
Premium brand and design systems: 3+ weeks (depending on complexity).
These timelines are estimates based on our past experience and the scope of your project. We will always provide you with a more specific timeline in your proposal.
Delays and Extensions: If we anticipate a delay in any milestone, we will notify you as early as possible. We will explain the reason for the delay and provide a revised estimated completion date. We do not surprise our clients, and we believe that proactive communication is the foundation of a great working relationship.
Delays caused by client feedback, late approvals, or changes in project scope may result in an extension of the timeline. We will always discuss this with you before making any adjustments.
Deliverables: At the completion of each milestone, we will provide you with a clear deliverable for review. This may include design mockups, wireframes, code builds, or test reports. You will have 3 business days to review and provide feedback. If we do not receive feedback within 3 business days, we may proceed to the next milestone at our discretion.
Client Responsibilities
We take full responsibility for delivering high-quality work. However, there are certain responsibilities that rest with you as the client. By agreeing to our terms, you agree to fulfill these responsibilities to the best of your ability.
Feedback and Approvals: You agree to provide timely, actionable feedback on each milestone deliverable. We cannot move forward without your feedback, and delays in feedback will result in delays in delivery. If you are unable to provide feedback within the agreed timeframe, we will reach out to you to confirm next steps.
Required Information: You agree to provide all necessary information, content, and assets required for the project in a timely manner. This may include brand guidelines, images, copy, passwords, and access to third-party platforms. Delays in providing these materials may result in delays in delivery.
Payment: You agree to pay all invoices on time and in accordance with the payment schedule outlined in your proposal. Late payments may result in a pause in work until the issue is resolved.
Testimonial Consent: If we request a testimonial or a review at the completion of the project, you are under no obligation to provide one. However, if you do provide a testimonial, you grant us permission to use it on our website, portfolio, and marketing materials. You may withdraw this permission at any time by contacting us.
Confidentiality: You agree to keep any proprietary information about our internal processes, tools, and methods confidential. This includes any information shared during discovery calls, project proposals, and ongoing communication. You also agree not to share this information with third parties without our prior written consent.
Limitation of Liability
We take our work seriously and stand behind the quality of what we deliver. However, we cannot be held liable for any indirect, incidental, or consequential damages arising from the use of our work.
Direct Liability: Our total liability for any claim arising out of or relating to our work is limited to the total amount of fees paid by you for the project. This includes liability for any damages, losses, or claims arising from the use of your website, mobile app, or digital product.
Indirect Liability: We are not liable for any loss of revenue, loss of profits, loss of data, or any other indirect damages resulting from the use or inability to use your product. We are not liable for any damages arising from the use of third-party platforms, tools, or services integrated into your product.
Third-Party Tools: We may integrate third-party tools and platforms into your project at your request. We are not liable for any issues, bugs, or outages caused by these third-party platforms. We will always recommend tools that we believe are reliable and secure, but we cannot guarantee the performance of platforms that we do not control.
Force Majeure: We are not liable for any delays or failures to deliver caused by events beyond our reasonable control. This includes but is not limited to natural disasters, power outages, internet outages, server failures, and acts of God.
Confidentiality and Non-Disclosure
We treat your business information with the same respect we treat our own. During a project, you may share private business ideas, sensitive data, or strategic plans with us. We keep all of that confidential and will never share it with third parties without your explicit consent.
What We Keep Confidential:

Your business plans, strategies, and goals.
Any proprietary information, trade secrets, or intellectual property.
Personal data such as your name, email address, and phone number.
Project details such as budget, timeline, and technical specifications.
How We Handle Confidential Information: We limit access to confidential information to only those senior specialists and project managers who need it to perform their roles. We store confidential information securely on encrypted platforms. We do not share confidential information with third parties, including partners, contractors, or service providers, without your explicit consent.
Duration of Confidentiality: This confidentiality obligation lasts for the duration of our working relationship and continues for 3 years after the project has ended.
Mutual NDA: If your project requires a higher level of protection, we are happy to sign a mutual Non-Disclosure Agreement (NDA). An NDA provides legal protection for both parties and ensures that sensitive information is protected to the highest standard. We will provide a standard NDA template upon request.
What We Expect From You: Likewise, we expect you to respect our creative processes and internal methods. These are the systems that allow us to deliver high-quality work consistently. You agree not to disclose any proprietary information about our internal tools, processes, or workflows to third parties without our prior written consent.
Dispute Resolution
We believe that every dispute can be resolved through open and honest communication. We prefer to handle any disagreements directly and informally before escalating to formal proceedings.
Initial Resolution: If a dispute arises between you and VISENT TECH, we will first attempt to resolve it through informal negotiation. We will schedule a call or meeting to discuss the issue and explore a mutually agreeable solution. We believe that most disputes can be resolved simply by talking through the issue.
Formal Dispute Resolution: If we are unable to resolve the dispute informally, we may escalate the issue to formal mediation. Mediation is a structured process in which a neutral third party helps both sides reach a resolution. We prefer mediation over arbitration or litigation, as it tends to be faster, less expensive, and less adversarial.
Governing Law: This agreement and any dispute arising out of or relating to it will be governed by the laws of the United Kingdom. The parties submit to the exclusive jurisdiction of the courts of the United Kingdom for any proceedings.
Legal Fees: In the event of any legal action or arbitration arising out of this agreement, the prevailing party will be entitled to recover its reasonable legal fees and costs from the non-prevailing party.

Terms of Services
We provide a wide range of digital services, including custom website development, mobile app engineering, AI automation systems, premium branding and design, digital marketing, and IT strategy consulting. Every project is delivered by a senior remote team of specialists with 7 to 14 years of experience in their respective fields. We do not outsource to juniors, and we do not assign your project to inexperienced developers. The team you meet is the team that builds your product.

How We Deliver:
Every project begins with a discovery call. We listen carefully to your goals, your business challenges, and your audience. We then work with our senior specialists to map out a technical strategy that aligns with your budget, timeline, and desired outcomes. Before any work begins, we provide you with a detailed scope of work, a fixed price, and a clear timeline. All deliverables and expectations are outlined in your proposal or service agreement. You will never be asked to approve work that has not been clearly defined in advance.

Discovery and Strategy. We understand your business, your users, and your goals.
Design and Prototyping. We create wireframes, high-fidelity mockups, and interactive prototypes.
Development and Engineering. Our senior specialists write clean, scalable, and secure code.
Testing and Quality Assurance. We rigorously test every feature, interaction, and edge case.
Launch and Handoff. We deploy your product and provide full documentation and training.
We work with you at every step. You are never kept in the dark, and you never pay for work you have not approved.

Intellectual Property
Intellectual property is one of the most important aspects of any digital project. We believe that you should own the work you pay for, completely and without reservation. That is why we keep our IP terms simple and transparent.
What You Own: Upon full payment of the final invoice, you own the complete source code, design files, and digital assets created specifically for your project. This includes custom frontend and backend code, Figma design files, brand guidelines, motion assets, and any documentation we prepare for you. You are free to use, modify, or transfer these assets to another team without any restrictions from us.
What We Retain: We retain ownership of any pre-existing tools, libraries, frameworks, and code components that we developed prior to your project. We also retain ownership of any proprietary processes, templates, and internal systems used during the development of your product. You are granted a permanent, royalty-free license to use these components as part of your final product.
What Happens Before Full Payment: Until the final invoice has been fully settled, we retain full ownership and intellectual property rights over all work-in-progress. This protects both parties and ensures that we are fairly compensated for the work we have delivered. You will never be asked to pay for work we have not yet completed, and we will never withhold assets that you have already paid for.
Limitations and Restrictions: You may not resell, sublicense, or commercially distribute any proprietary tools or code developed for your project without our prior written consent. You are free to use these assets within your own business and for your own commercial purposes.
Moral Rights: We do not claim moral rights over the final product. You are free to modify, adapt, or rebrand the work as you see fit.
Payments and Invoicing
We believe in complete transparency when it comes to payments. We do not sell hours. We do not track time. We sell outcomes. Every project has a fixed price that is agreed upon in advance, and that price is tied to clear, pre-defined milestones. You always know exactly what you are paying for and exactly what you will receive.
Deposits and Payment Schedules: Most projects require an initial deposit of 50% of the total project fee before work begins. This deposit allows us to secure the time and expertise of our senior specialists and ensures that we can begin the discovery and design phases without delay. For larger projects, we may offer a milestone-based payment schedule. This is always outlined in your proposal and agreed upon before any work begins.
Our standard payment schedules are:
50% upfront, 50% upon final delivery. This is our default and recommended approach.
50% upfront, 25% at design milestone, 25% upon final delivery. This option provides extra milestones for larger, more complex projects.
70% upfront, 30% upon final delivery. This option is available for clients who prefer to pay the bulk of the project fee upfront.
Accepted Payment Methods: We accept payments via secure bank transfer, Stripe, and PayPal. All payment processing is handled securely and in compliance with PCI DSS standards. We do not store your full credit card details on our internal servers. You will receive a formal invoice for each payment, and you will receive a receipt upon successful processing.
Late Payments: We understand that delays can happen. If a payment is late, we will reach out to you directly to discuss the situation. We will not automatically suspend work or escalate the issue without first communicating with you. In most cases, a brief conversation is all that is needed to resolve any payment delays.
If payment remains outstanding for more than 30 days after the due date, we may pause work on your project until the issue is resolved. We will always provide you with at least 7 days notice before any action is taken.
Currency and Billing: All invoices are issued in British Pounds (GBP). Our clients are located across the UK, US, Europe, Australia, and the UAE, and we are happy to accommodate your preferred currency upon request. International wire transfers may be subject to fees from your bank, and we recommend verifying the final exchange rate before initiating a transfer.
Refunds and Cancellation Policy
We understand that circumstances can change. While we always aim to deliver a product that exceeds your expectations, we also recognize that sometimes projects need to be paused, adjusted, or canceled. We handle these situations with fairness, transparency, and a clear set of guidelines.
Deposit Refunds: Because the initial deposit secures the time and expertise of our senior specialists, it is non-refundable once work has begun. This deposit is used to allocate resources, begin planning, and secure the availability of our team. If you decide to cancel before we have started work, we may refund the deposit in full at our discretion.
Mid-Project Cancellation: If you cancel a project after work has already started, you will be invoiced for all work completed up to that point. This includes discovery, research, design, development, and any third-party expenses we have incurred on your behalf. You will not be charged for work that has not yet started or for milestones that have not yet been delivered. You will receive a detailed breakdown of all completed work and associated costs within 5 business days of the cancellation request.
What Happens After Cancellation: Upon cancellation and settlement of all outstanding invoices, we will provide you with the source code, design files, and assets that have been completed and paid for to date. You are not required to pay for unfinished work, and we will not withhold assets that you have already fully paid for.
Our Right to Terminate: In rare cases, VISENT TECH may choose to terminate a project due to repeated non-responsiveness, abusive behavior, or failure to meet agreed payment terms. We will always attempt to resolve the issue through open communication before taking any action. If we are unable to resolve the issue, we may terminate the project and invoice you for all work completed up to that point.
Refund Policy: Because we operate on a milestone-based payment model, refunds are only available in the case of a major error or failure to deliver an agreed milestone. If we fail to meet a milestone due to our own negligence or error, we will work with you to correct the issue at no additional cost. If we are unable to resolve the issue, we may offer a partial refund at our discretion.
Project Timelines and Deliverables
We take timelines seriously. Every project is built around a schedule that works for both you and our team. We provide realistic estimates and work diligently to deliver on time without sacrificing quality.
Estimated Timelines:
Custom websites and foundational platforms: 1.5 weeks to 4+ weeks.
Mobile apps and custom platforms: 4 weeks to 6+ weeks.
Premium brand and design systems: 3+ weeks (depending on complexity).
These timelines are estimates based on our past experience and the scope of your project. We will always provide you with a more specific timeline in your proposal.
Delays and Extensions: If we anticipate a delay in any milestone, we will notify you as early as possible. We will explain the reason for the delay and provide a revised estimated completion date. We do not surprise our clients, and we believe that proactive communication is the foundation of a great working relationship.
Delays caused by client feedback, late approvals, or changes in project scope may result in an extension of the timeline. We will always discuss this with you before making any adjustments.
Deliverables: At the completion of each milestone, we will provide you with a clear deliverable for review. This may include design mockups, wireframes, code builds, or test reports. You will have 3 business days to review and provide feedback. If we do not receive feedback within 3 business days, we may proceed to the next milestone at our discretion.
Client Responsibilities
We take full responsibility for delivering high-quality work. However, there are certain responsibilities that rest with you as the client. By agreeing to our terms, you agree to fulfill these responsibilities to the best of your ability.
Feedback and Approvals: You agree to provide timely, actionable feedback on each milestone deliverable. We cannot move forward without your feedback, and delays in feedback will result in delays in delivery. If you are unable to provide feedback within the agreed timeframe, we will reach out to you to confirm next steps.
Required Information: You agree to provide all necessary information, content, and assets required for the project in a timely manner. This may include brand guidelines, images, copy, passwords, and access to third-party platforms. Delays in providing these materials may result in delays in delivery.
Payment: You agree to pay all invoices on time and in accordance with the payment schedule outlined in your proposal. Late payments may result in a pause in work until the issue is resolved.
Testimonial Consent: If we request a testimonial or a review at the completion of the project, you are under no obligation to provide one. However, if you do provide a testimonial, you grant us permission to use it on our website, portfolio, and marketing materials. You may withdraw this permission at any time by contacting us.
Confidentiality: You agree to keep any proprietary information about our internal processes, tools, and methods confidential. This includes any information shared during discovery calls, project proposals, and ongoing communication. You also agree not to share this information with third parties without our prior written consent.
Limitation of Liability
We take our work seriously and stand behind the quality of what we deliver. However, we cannot be held liable for any indirect, incidental, or consequential damages arising from the use of our work.
Direct Liability: Our total liability for any claim arising out of or relating to our work is limited to the total amount of fees paid by you for the project. This includes liability for any damages, losses, or claims arising from the use of your website, mobile app, or digital product.
Indirect Liability: We are not liable for any loss of revenue, loss of profits, loss of data, or any other indirect damages resulting from the use or inability to use your product. We are not liable for any damages arising from the use of third-party platforms, tools, or services integrated into your product.
Third-Party Tools: We may integrate third-party tools and platforms into your project at your request. We are not liable for any issues, bugs, or outages caused by these third-party platforms. We will always recommend tools that we believe are reliable and secure, but we cannot guarantee the performance of platforms that we do not control.
Force Majeure: We are not liable for any delays or failures to deliver caused by events beyond our reasonable control. This includes but is not limited to natural disasters, power outages, internet outages, server failures, and acts of God.
Confidentiality and Non-Disclosure
We treat your business information with the same respect we treat our own. During a project, you may share private business ideas, sensitive data, or strategic plans with us. We keep all of that confidential and will never share it with third parties without your explicit consent.

Your business plans, strategies, and goals.
Any proprietary information, trade secrets, or intellectual property.
Personal data such as your name, email address, and phone number.
Project details such as budget, timeline, and technical specifications.
How We Handle Confidential Information: We limit access to confidential information to only those senior specialists and project managers who need it to perform their roles. We store confidential information securely on encrypted platforms. We do not share confidential information with third parties, including partners, contractors, or service providers, without your explicit consent.
Duration of Confidentiality: This confidentiality obligation lasts for the duration of our working relationship and continues for 3 years after the project has ended.
Mutual NDA: If your project requires a higher level of protection, we are happy to sign a mutual Non-Disclosure Agreement (NDA). An NDA provides legal protection for both parties and ensures that sensitive information is protected to the highest standard. We will provide a standard NDA template upon request.
What We Expect From You: Likewise, we expect you to respect our creative processes and internal methods. These are the systems that allow us to deliver high-quality work consistently. You agree not to disclose any proprietary information about our internal tools, processes, or workflows to third parties without our prior written consent.
Dispute Resolution
We believe that every dispute can be resolved through open and honest communication. We prefer to handle any disagreements directly and informally before escalating to formal proceedings.
Initial Resolution: If a dispute arises between you and VISENT TECH, we will first attempt to resolve it through informal negotiation. We will schedule a call or meeting to discuss the issue and explore a mutually agreeable solution. We believe that most disputes can be resolved simply by talking through the issue.
Formal Dispute Resolution: If we are unable to resolve the dispute informally, we may escalate the issue to formal mediation. Mediation is a structured process in which a neutral third party helps both sides reach a resolution. We prefer mediation over arbitration or litigation, as it tends to be faster, less expensive, and less adversarial.
